1. Agreement to Terms

Welcome to Apex Athletics Club ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, facilities, services, and programs (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

2. Membership and Registration

2.1 Eligibility

You must be at least 18 years of age to register for membership. Minors between 13-17 years may use our Services only with parental or legal guardian consent and supervision.

2.3 Membership Types

3. Payments and Fees

3.1 Membership Fees

Membership fees are due in advance according to your selected payment plan (monthly, quarterly, or annually). All fees are non-refundable except as required by law or explicitly stated in our refund policy.

3.2 Automatic Renewal

Memberships automatically renew at the end of each billing period unless cancelled according to our cancellation policy. You authorize us to charge your designated payment method for renewal fees.

3.3 Price Changes

We reserve the right to modify membership fees with thirty (30) days advance notice. Continued use of Services after the effective date constitutes acceptance of new fees.

3.4 Late Payments

Late or failed payments may result in membership suspension or termination. A late fee may be charged for overdue accounts as permitted by law.

4. Facility Use and Conduct

4.1 Hours of Operation

Facility hours are subject to change. We may temporarily close facilities for maintenance, special events, or emergencies without notice.

4.2 Rules and Regulations

Members must comply with all posted facility rules, staff instructions, and safety guidelines. We reserve the right to refuse service or terminate membership for violations.

4.3 Personal Belongings

We are not responsible for lost, stolen, or damaged personal property. Members use lockers and storage facilities at their own risk.

5. Health and Safety

5.1 Medical Clearance

You represent that you are in good physical condition and have no medical conditions that would prevent safe participation in athletic activities. We recommend consulting a physician before beginning any exercise program.

5.2 Assumption of Risk

You acknowledge that physical exercise and athletic activities involve inherent risks of injury. You voluntarily assume all risks associated with participation in our programs and use of our facilities.

5.3 Emergency Medical Treatment

You authorize us to obtain emergency medical treatment on your behalf if necessary, and you agree to be financially responsible for any such treatment costs.

6. Limitation of Liability

6.1 Release and Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND WAIVE ANY CLAIMS AGAINST APEX ATHLETICS CLUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY LIABILITY FOR INJURIES, LOSSES, OR DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

6.2 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.3 Limitation of Damages

IN NO EVENT SHALL APEX ATHLETICS CLUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

6.4 Maximum Liability

Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

7. Intellectual Property Rights

7.1 Ownership

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, videos, software, and trademarks, are owned by Apex Athletics Club or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes. This license does not include any right to:

• Reproduce, distribute, or publicly display our content
• Modify or create derivative works
• Use our content for commercial purposes
• Remove copyright or proprietary notices

"Apex Athletics Club" and associated logos are trademarks of our company. You may not use these marks without our prior written permission.

8. Prohibited Uses

You agree not to:

9. User Content and Conduct

9.1 User Submissions

Any content you submit, post, or transmit through our Services (reviews, comments, photos, etc.) remains your property. However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with our Services.

9.2 Content Standards

10. Cancellation and Termination

10.1 Cancellation by Member

You may cancel your membership by providing written notice at least thirty (30) days before your next billing date. Cancellations must be submitted according to our cancellation procedures. No refunds will be provided for partial billing periods.

10.2 Termination by Company

We reserve the right to suspend or terminate your membership immediately, without notice or refund, for:

• Violation of these Terms
• Failure to pay membership fees
• Conduct that endangers others or damages property
• Fraudulent or illegal activity
• Any reason we deem necessary to protect our business or other members

10.3 Effect of Termination

Upon termination, your right to access and use our Services immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including liability limitations, intellectual property rights, and dispute resolution.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

12. Third-Party Services and Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Apex Athletics Club. We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party sites or services. You acknowledge and agree that we shall not be liable for any damages arising from your use of third-party services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Apex Athletics Club, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of any applicable laws or regulations

14. Governing Law and Jurisdiction

14.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which our primary facility is located, without regard to its conflict of law provisions.

14.2 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located within the county of our primary facility for the resolution of any disputes.

15. Dispute Resolution

15.1 Informal Resolution

If a dispute arises between you and Apex Athletics Club, we encourage you to first contact us directly to seek an informal resolution. We are committed to resolving disputes in good faith.

15.2 Arbitration Agreement

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

15.3 Arbitration Procedures

• Arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Arbitration shall take place in the state of our primary facility
• Each party shall bear its own costs and attorneys' fees
• The arbitrator may award costs and fees to the prevailing party

15.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND APEX ATHLETICS CLUB INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.5 Exceptions

Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights or confidential information.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending notice to your registered email address for significant changes

Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your membership.

17. General Provisions

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Apex Athletics Club.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, or public health emergencies.

All notices to you will be sent to your registered email address. Notices to us should be sent to the contact information provided below.

17.7 No Third-Party Beneficiaries

These Terms are for the benefit of you and Apex Athletics Club only and do not create any third-party beneficiary rights.
